Samsung Biologics has announced an all-cash offer worth 1.46 billion Swiss francs (approximately $1.8 billion) to acquire Switzerland-based PolyPeptide Group, marking a significant step in the company's strategy to strengthen its presence in the rapidly expanding peptide therapeutics market. The transaction is expected to be completed by the end of 2026, subject to customary regulatory approvals and shareholder acceptance.
Under the proposed offer, PolyPeptide shareholders will receive 44.31 Swiss francs per share. According to Samsung Biologics, the acquisition represents the largest biopharmaceutical merger and acquisition transaction ever undertaken by the company and reflects its long-term commitment to expanding beyond its existing biologics manufacturing portfolio.
The acquisition is expected to enhance Samsung Biologics' capabilities in peptide-based active pharmaceutical ingredients, a segment experiencing strong global demand due to the growing popularity of GLP-1 therapies used in the treatment of obesity and diabetes. These peptide medicines work by mimicking naturally occurring hormones that help regulate blood sugar levels and suppress appetite.
PolyPeptide Group's Board of Directors has expressed support for the proposal. Chairman Peter Wilden stated that the offer provides shareholders with an attractive cash valuation while delivering immediate and certain value following the company's strategic review process.
For Samsung Biologics, the transaction represents an opportunity to broaden its service offerings beyond antibody therapeutics and antibody-drug conjugates. The company aims to provide pharmaceutical partners with a more comprehensive range of development and manufacturing solutions across multiple therapeutic platforms.
The acquisition will also significantly strengthen Samsung Biologics' international manufacturing and research presence. PolyPeptide operates facilities across Switzerland, Sweden, Belgium, France, the United States, and India, providing extensive research, development, and commercial manufacturing capabilities that will complement Samsung's existing global operations.
Founded as a spin-off from pharmaceutical company Ferring in 1996, PolyPeptide Group has established itself as a leading developer and manufacturer of peptide-based active pharmaceutical ingredients, with experience in producing more than 1,000 therapeutic peptides for pharmaceutical companies worldwide.
Following the announcement, Samsung Biologics' shares traded modestly lower during early market activity. Despite the short-term market reaction, the acquisition is widely viewed as a strategic move that positions the company to capitalize on the accelerating global demand for peptide-based medicines, particularly in the high-growth obesity and diabetes treatment markets.
